Terms & risk disclosure

This page is a draft of the terms. The version that applies to you is the written agreement confirmed at onboarding.

Draft. Not reviewed by a lawyer. This page is a template and must not be used for live operation as is. Items in square brackets [ ] must be completed or confirmed before launch. Regulation of crypto payment services varies widely by jurisdiction, so please consult local counsel before publishing.

1. Terms of service

1.1 The service and who runs it

[Legal entity name and place of registration] ("we") provides crypto payment technology to approved merchants using PayRam self-hosted software. We are a technology service provider. [Counsel to confirm whether we need, and whether we hold, any payment, virtual asset service provider or money transmission licence or registration.]

1.2 Funds and wallets

  • Customer payments are swept on-chain to the cold wallet address the merchant designates. The service fee is split automatically on-chain.
  • The "hot wallet" that pays gas and sends payouts is prepared and funded by the merchant. The platform does not provide a hot wallet and does not pay gas or payout funds on the merchant's behalf. The hot wallet's private key is stored encrypted on a server operated by the platform. The merchant bears the wallet's balance, the funds used for payouts, and any delay in sweeps or payouts caused by an insufficient balance. [Counsel to confirm: the platform's duty of care over that stored key, and any liability cap.]
  • Merchants must keep the private keys and seed phrases of their master account and cold wallet themselves. We will never ask for them.
  • Losses caused by an incorrect cold wallet address entered by the merchant are borne by the merchant.

1.3 Merchant responsibilities

  • Provide true, complete and current onboarding information and tell us when it changes.
  • Comply with the laws of where you operate and where your customers are, hold any required licences, and meet your tax and reporting obligations.
  • Handle identity checks, after-sales service and refunds for your own customers. On-chain payments have no automatic chargeback, so refunds are issued manually by the merchant.
  • Do not use the service for anything listed under "Prohibited and restricted businesses".

1.4 Fees

The service fee is charged on the payment amount. The exact rate is confirmed in writing after approval and can be set per project and per chain. Rate changes require [ ] days' written notice. On-chain gas costs (deploying sweep contracts, sweeps and payouts) are borne by the merchant and paid from the merchant's own master account and hot wallet; they are not part of the service fee. [To confirm: whether the PayRam software vendor charges separately, and whether that is included in the rate above.]

1.5 Suspension and termination

We may suspend or end the service if the merchant breaches these terms; we reasonably suspect fraud, money laundering or sanctions exposure; a regulator or the law requires it; or the underlying software or blockchain network presents a material risk. We will give notice where practicable. Funds already swept to the merchant's cold wallet are not affected by a suspension.

1.6 Disclaimer and limitation of liability

To the extent permitted by law, we are not liable for: blockchain congestion, forks or node outages; price volatility or stablecoin depegs; transfers to wrong addresses; failures of third-party services (RPC nodes, block explorers, browser wallets); or force majeure. Our liability is capped at [ ].

1.7 Governing law and disputes

[Governing law and jurisdiction to be decided.]

1.8 Changes

We may update these terms and will give notice of material changes. Continued use of the service means you accept the updated terms.

2. Prohibited and restricted businesses

2.1 Prohibited

  • Any illegal activity, or business that breaks the law where the merchant or its customers are located.
  • Fraud, Ponzi or pyramid schemes, and false or misleading sales.
  • Money laundering, terrorist financing or sanctions evasion; anything involving sanctioned countries, regions, entities or individuals.
  • Unlicensed gambling or betting.
  • Drugs, weapons and other contraband; illegal content involving minors.
  • Pirated or infringing goods and services.
  • Collecting or moving other people's funds where a lawful source cannot be shown.
  • Any other business we reasonably judge to carry serious compliance or reputational risk.

2.2 Restricted (extra review, may be declined)

  • Investment, wealth management and lending services.
  • Virtual asset exchange, trading and token issuance services.
  • Collection and payment agents, aggregators and platform businesses.
  • Adult content, supplements, and high-chargeback industries.

[Adjust this list to your risk appetite and legal advice.]

3. Risk disclosure

  • Payments are irreversible. Once confirmed, an on-chain transaction cannot be recalled. Sending to the wrong address or network can lose funds permanently.
  • Price and stablecoin risk. Non-stable assets can be very volatile, and stablecoins can lose their peg.
  • Network and gas risk. Congestion delays confirmation and raises fees, and small payments may not be economical after gas.
  • Smart contract risk. Sweeping and related features rely on on-chain smart contracts. No smart contract, including an audited one, is guaranteed free of bugs.
  • Hot wallet risk. The hot wallet key is held (encrypted) on a server. Keep only a small balance in it.
  • Regulatory risk. Rules on crypto assets are changing and may affect whether the service is available or lawful.
  • Third-party dependencies. The service relies on open-source software, blockchain nodes and browser wallets.

4. Privacy

  • What we collect: the details in your application (company name, website, contact person and details, receiving address, business description), plus account, transaction and log data generated when you use the service.
  • What we do not collect: private keys or seed phrases. Never send them to us.
  • Purpose: reviewing and opening accounts, providing and maintaining the service, risk and compliance, and communicating with you.
  • Application form: the form on this site only builds an email draft in your browser, which you send yourself.
  • Third parties: the PayRam software we run communicates with PayRam services (for example x.payram.com) while running. [To confirm: exactly what is sent; disclose it here once verified.] Blockchain data itself is public.
  • Retention and deletion: [Retention period to be decided.] You may ask to access, correct or delete your personal data using the contact details, except where the law requires us to keep it.
  • Contact: see the footer or the application page.
